Common and Simplified Norms for processing

Investor’s Service Request

Dear Investors,

SEBI vide its circular SEBI/HO/MIRSD/MIRSD_RTAMB/P/CIR/2021/655 dated November 03, 2021 has notified common and simplified norms for processing investor’s service request by the Registrars and Transfer Agents (RTAs) and norms for furnishing Permanent Account Number (“PAN”), Know Your Client (“KYC”) details and Nomination. Key highlights of the circular are as under:

All holders of physical securities of the Company are mandatorily required to furnish the following documents / details to the Company’s RTA i.e. Link Intime India Private Limited (“Link Intime”):-

  • PAN
  • Nomination
  • Contact Details
  • Bank Account details
  • Specimen Signature

Investors shall submit Form ISR-1 to Link Intime for updating PAN and other KYC details.

In case of mismatch in the signature of the holder in the records of Link Intime, the investor shall furnish original cancelled cheque and banker’s attestation of the signature as per Form ISR-2.

Investors shall continue to use form SH-13 and SH-14 for declaration of nomination and change in nomination respectively. However, in case investor wants to opt-out of nomination, Form ISR-3 shall be filed.

Payment of dividend only through electronic mode on or after April 1, 2024 to the shareholders holding shares in physical form and those who have not updated their KYC

Securities and Exchange Board of India (“SEBI”) vide its circular No. SEBI/ HO/ MIRSD/ MIRSD_RTAMB/ P/CIR/2021/655 dated November 3, 2021 (subsequently amended by circulars dated December 14, 2021, March 16, 2023 and November 17, 2023) mandated that the security holders (holding securities in physical form), whose folio(s) do not have PAN or Choice of Nomination or Contact Details or Mobile Number or Bank Account Details or Specimen Signature updated, shall be eligible for any payment including dividend, interest or redemption in respect of such folios, only through electronic mode with effect from April 1, 2024, upon their furnishing all the aforesaid details in entirety.

Shareholders are requested to note that in case of non-updation of PAN or Choice of Nomination or Contact Details or Mobile Number or Bank Account Details or Specimen Signature in respect of physical folios, dividend/interest etc. shall be paid only through electronic mode with effect from April 1, 2024 upon furnishing all the aforesaid details in entirety.

Further, if a security holder updates the PAN, Choice of Nomination, Contact Details including Mobile Number, Bank Account Details and Specimen Signature after April 1, 2024, then the security holder would receive all the dividends/interest etc. declared during that period (i.e. from April 1, 2024 till date of updation) pertaining to the securities held after the said updation automatically.

In view of the above, shareholders of the Company holding shares in physical form shall provide the above mentioned documents / details to the RTA of the Company at the address mentioned in below table along with other basic details like name of the shareholder, folio number, certificate number and distinctive numbers.
